Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Chainsavvy LLC, the owner and operator of GPU Autopilot ("GPU Autopilot," "we," "us," or "our"). By accessing gpuautopilot.com, creating an account, starting a free trial, connecting a marketplace API key, installing the telemetry agent, viewing a non-public dashboard, using any paid or unpaid feature, or otherwise using the Service, you agree to these Terms.

If you access or use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not access or use the Service.

2. Service Description

GPU Autopilot is an automated pricing, market intelligence, and fleet visibility platform for GPU marketplace hosts. The Service may adjust listing prices, display fleet status, monitor market conditions, provide telemetry, send notifications, and perform related host-side automation for supported third-party marketplaces, including Vast.ai, OctaSpace, QuickPod, and any additional marketplaces we may support.

The Service operates according to your configured settings, such as price floors, price ceilings, bid offsets, marketplace selection, strategy settings, telemetry settings, and other controls available in the dashboard.

3. Limited License

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your own authorized GPU hosting operations during an active trial, subscription, or other authorized access period.

This license does not transfer any ownership rights to you. We may suspend, limit, or revoke this license at any time if we believe your access or use violates these Terms, threatens the Service, infringes our rights, harms another user, or creates legal, operational, or security risk.

4. GPU Autopilot Intellectual Property

The Service, including its software, source code, object code, dashboards, product names, page names, workflows, interface layouts, visual design, charts, data displays, labels, copy, pricing logic, automation logic, telemetry agent, documentation, onboarding flows, API designs, internal tools, screenshots, reports, and compilations of features, is owned by Chainsavvy LLC, as operator of GPU Autopilot, or its licensors and is protected by copyright, trademark, trade secret, contract, unfair competition, and other laws.

You may not copy, reproduce, publish, display, distribute, modify, adapt, translate, create derivative works from, or commercially exploit any part of the Service except as expressly allowed by these Terms or with our prior written permission.

5. Trademarks, Names, and Brand Protection

GPU Autopilot, GPUAutoPilot, gpuautopilot.com, the GPU Autopilot logo, and confusingly similar variations, including "GPU Auto Pilot," are trademarks, service marks, trade names, or brand identifiers owned by Chainsavvy LLC and used in connection with GPU Autopilot. Our product and feature names, including names used for dashboard areas, operational views, onboarding flows, pricing controls, telemetry views, notifications, and market intelligence features, are also part of our protected brand identity and product presentation.

You may not use our names, marks, logos, domain names, product names, feature names, metadata, tags, social handles, repository names, application names, marketplace listings, advertising copy, or other brand identifiers in a way that suggests affiliation, endorsement, sponsorship, source, ownership, or approval by GPU Autopilot unless we have given prior written permission.

You may not register, publish, distribute, promote, or operate any product, service, website, dashboard, repository, social account, domain, or public listing using a name or presentation that is identical or confusingly similar to GPU Autopilot or our product identity.

6. No Reverse Engineering, Cloning, or Competitive Misuse

You may not access or use the Service to reverse engineer, copy, clone, imitate, benchmark, inspect, scrape, train, model, test, or develop any competing or similar product, service, dashboard, automation system, agent, marketplace tool, pricing engine, telemetry product, fleet management tool, or user interface.

You agree that you will not, directly or indirectly:

  • reverse engineer, decompile, disassemble, derive, or attempt to discover source code, object code, algorithms, models, workflows, non-public APIs, data structures, or business logic;
  • monitor, intercept, inspect, crawl, scrape, record, or automate access to the Service except through features we intentionally make available to you for normal use;
  • copy or imitate the dashboard structure, tab structure, navigation, labels, visual hierarchy, feature groupings, text, controls, workflows, reports, or overall look and feel of the Service;
  • use a free trial, demo, paid account, shared account, screenshot, screen recording, support interaction, or other access to build, improve, train, validate, market, or distribute a competing or substantially similar product;
  • publish non-public screenshots, recordings, exports, support messages, API responses, dashboard views, pricing logic, telemetry outputs, or internal product details without our prior written permission;
  • remove, obscure, alter, or misuse any copyright, trademark, ownership, attribution, security, or proprietary notice;
  • imply that your product or service is built by, operated by, affiliated with, endorsed by, or derived from GPU Autopilot; or
  • assist, enable, authorize, or encourage anyone else to do any of the above.

7. Free Trials and Evaluation Access

Free trials, discounts, demos, beta access, and other unpaid access are provided only for good-faith evaluation or use of GPU Autopilot for your own GPU hosting operations. Trial access may not be used for competitive research, product cloning, benchmarking, scraping, copying, public comparison, public teardown, security testing, reverse engineering, or any use outside normal evaluation of the Service.

We may deny, revoke, shorten, or terminate trial access at any time if we suspect abuse, competitive misuse, violation of these Terms, or conduct inconsistent with the purpose of the trial.

8. Confidential and Non-Public Information

Non-public portions of the Service are confidential to GPU Autopilot. This includes authenticated dashboard views, feature layouts, pricing controls, market intelligence views, telemetry views, unreleased features, beta features, support discussions, operational details, API behavior, automation behavior, and any information that a reasonable person would understand to be non-public or proprietary.

You may use this information only to use the Service as permitted by these Terms. You may not disclose, publish, copy, or use non-public information for any competitive, commercial, or unauthorized purpose.

9. User Responsibilities

You retain responsibility for your marketplace accounts, machines, listings, pricing settings, credentials, and business decisions. You are responsible for:

  • setting appropriate price floors, ceilings, and controls;
  • reviewing automated pricing activity and marketplace status;
  • monitoring your machines, hosts, telemetry, and listings;
  • maintaining the security of your account and API keys;
  • using only marketplace accounts and machines you are authorized to manage;
  • complying with marketplace rules, laws, and third-party terms; and
  • disabling automation if you no longer want automated pricing.

You may disable automation for supported machines through the dashboard. Your machines may remain listed at their last set price after automation is disabled, paused, canceled, or interrupted.

10. API Keys and Marketplace Access

When you provide marketplace API keys or other credentials, you authorize GPU Autopilot to use them to provide the Service, including reading machine status, reading listing data, reading marketplace data, adjusting listing prices, syncing supported machine configuration, sending notifications, and performing other actions you enable through the Service.

We do not sell your API keys. We use reasonable security measures designed to protect stored credentials, but you remain responsible for the credentials you choose to provide and for revoking or rotating credentials when appropriate.

11. Prohibited Conduct

You may not use the Service to:

  • violate any law, regulation, third-party right, or marketplace rule;
  • access accounts, machines, keys, data, or systems without authorization;
  • attack, overload, disrupt, probe, scan, or test the vulnerability of the Service;
  • bypass rate limits, authentication, billing, security, or access controls;
  • share, resell, lease, lend, or transfer your account access;
  • submit false, misleading, infringing, or harmful information;
  • interfere with another user's use of the Service;
  • use the Service for spam, fraud, abuse, or deceptive conduct; or
  • use the Service in any manner that we reasonably believe creates risk for GPU Autopilot, users, marketplaces, or third parties.

12. No Guarantee of Outcomes

The Service uses marketplace data, account data, telemetry data, and your configuration to automate pricing and visibility workflows. We do not guarantee any specific revenue, rental rate, ranking, uptime, utilization, marketplace position, cost savings, pricing result, or business outcome. Market conditions, platform APIs, competitor behavior, hardware conditions, and third-party actions can change quickly.

13. Third-Party Services

The Service depends on third-party platforms, APIs, payment processors, messaging providers, infrastructure providers, and marketplaces. We are not responsible for third-party outages, pricing errors, API changes, data inaccuracies, account actions, marketplace policy changes, payment processor issues, or other third-party conduct.

14. Billing, Cancellation, and Access

Paid subscriptions are billed through Stripe or another payment provider we make available. You are responsible for all charges, taxes, and fees associated with enabled systems, subscriptions, add-ons, and other paid features. Unless stated otherwise, fees are non-refundable except where required by law.

You may cancel through the Billing page or by contacting us through our support channels. Cancellation may stop future billing but does not guarantee deletion of historical records that we are permitted or required to retain for security, billing, legal, operational, or compliance purposes.

15. Enforcement, Evidence, and Remedies

We may investigate suspected violations of these Terms. You agree that we may preserve and use account records, access logs, timestamps, screenshots, billing records, support messages, API activity, marketplace identifiers, public posts, copied materials, and other relevant evidence to protect GPU Autopilot, enforce these Terms, comply with law, or pursue available remedies.

If you violate sections protecting our intellectual property, trademarks, confidential information, access controls, or competitive-use restrictions, you agree that GPU Autopilot may suffer irreparable harm that may not be fully remedied by money damages alone. We may seek injunctive relief, takedowns, account termination, damages, attorneys' fees where available, and any other remedies available under contract, copyright, trademark, trade secret, unfair competition, platform, or other applicable laws.

16. Suspension and Termination

We may suspend or terminate your account, trial, subscription, API access, telemetry access, or other use of the Service at any time if we believe you violated these Terms, created risk for the Service, infringed our rights, misused the Service, failed to pay required fees, or acted in a way inconsistent with the intended use of GPU Autopilot.

After termination, the sections of these Terms that by their nature should survive will survive, including intellectual property, trademarks, confidentiality, restrictions on use, payment obligations, disclaimers, limitations of liability, indemnity, enforcement, and remedies.

17. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

18. Limitation of Liability

To the fullest extent permitted by law, Chainsavvy LLC, GPU Autopilot, and their owners, operators, affiliates, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, missed rentals, marketplace losses, machine downtime, pricing errors, business interruption, or substitute services.

To the fullest extent permitted by law, our total liability for any claim relating to the Service or these Terms will not exceed the amount you paid to Chainsavvy LLC or GPU Autopilot for the Service in the three months before the event giving rise to the claim, or $100 if you used only free access.

19. Indemnification

You agree to defend, indemnify, and hold harmless Chainsavvy LLC, GPU Autopilot, and their owners, operators, affiliates, contractors, service providers, and licensors from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Service, your marketplace accounts, your machines, your credentials, your violation of these Terms, your violation of law or third-party rights, or your misuse of GPU Autopilot intellectual property, trademarks, confidential information, or non-public materials.

20. Changes to These Terms

We may update these Terms from time to time. Updated Terms are effective when posted unless we state a later effective date. Continued access to or use of the Service after updated Terms are posted constitutes acceptance of the updated Terms. Material changes may also be communicated through the dashboard, email, or other reasonable notice.
